Question about purchasing a M5 (really want to put the trigger, but need some advise

I found this 03' E39 m5 out of state at a dealer.

37k
asking for $45k
factory warranty will expire in less than 2 months

To ship the car over to my home, it will be an additional of $1k.

what kind of things should i look for in the car?
since the warranty is about to expire, should i extend the warranty? i read soemthing about 3rd party warranty and CPO, how does that work? I also read from some user here that they would sell the car back to the dealer, the dealer CPO the car, and then resell the car back to the owner, does this work at any bmw dealer? how does the tax work then, would it mean the owner will have to pay tax again when the dealer sells it back to them?

overall, is $45k (+$1k shipping) worth it for a 03' E39 m5?
