I'm the original owner of an '02 M5. I recently swapped out the OEM Mk III Nav for a Mk IV (purchased from another M5Board member).
In 6+ years of ownership/use, my Mk III has never failed nor given me any problems. It works flawlessly. Neither the software nor firmware has ever been changed. From reading this Board, Mk III is a simple "plug and play" upgrade for Mk II and Mk I, found in earlier model year E39's.
I'm selling the Mk III, plus all 8 Navteq regional CD's, and their leather carrying/storage case. 7 of the CD's are 2006.2 version, with Northwest/Southwest one being 2007.2.
The price for everything is $275, shipped in lower 48 U.S states; slightly more for AK, HI, or Canada. Yes, I'll accept PayPal.

Let me ask you what the major difference between these two is?
Do you mean difference between Mk III and MK IV?? 'Biggest difference is DVD in MK IV covers entire U.S. and Canada. I'm retired and take lots of road trips all over the country. For me, one DVD is more convenient than 8 CD's.
