Hmmm, the air's gotta get out if you're gonna get it in... I'd lean toward the headers first, and as long as you're paying for it, i'd go the dinan route and keep the factory cats. My main concern would be passing ca. smog tests, and although dinan's headers aren't cal legal, i think it'd be less obvious than aftermarket cats, for the visual test. (although i had a shop initially tell me my m5 had aftermarket cats, i had to show them the roundels stamped into them)
